Permitted use

(1) The customer is entitled to use the leano platform within the scope of the concluded contract for the agreed purposes. Use is limited to the number of user accounts specified in the contract.

(2) Each user account is personal. Passing on login credentials to third parties beyond the contractually agreed number of users is prohibited. This also applies to the free or temporary transfer to third parties.

(3) The customer is prohibited from:

  • carrying out automated bulk access to the platform that goes beyond contractual use and impairs or could impair system stability;
  • using the platform to send unsolicited messages (spam), to distribute malware, or for any other unlawful purposes;
  • replicating the platform or essential parts of it as a competing product, or evaluating it for this purpose;
  • using the platform in a way that infringes the rights of third parties.

(4) Decompiling, disassembling or otherwise reverse-engineering the source code or system architecture of the platform is prohibited; the mandatory rights under §§ 69d, 69e UrhG remain unaffected.

(5) In the event of a specific suspicion of a breach of these terms of use or in the event of a security-relevant incident, the provider is entitled to temporarily throttle or block the affected access. The customer will be informed without undue delay of the measure and its reason.

(6) Before a permanent block or extraordinary termination, the provider will, as a rule, follow the following staged procedure:

  • Stage 1: Notice to the customer with a request to remedy the matter within a reasonable period.
  • Stage 2: Throttling or temporary blocking of access, where no remedy takes place or an immediate response is required.
  • Stage 3: Extraordinary termination of the usage contract for good cause pursuant to § 314 BGB in the event of serious or persistent breaches.

There is no claim to a refund of fees already paid in the event of a block or termination for which the customer is responsible.

(7) Breaches of these terms of use can be reported to the provider at mail@leano.net.

Rights of termination and withdrawal for business customers

7.1 Note on the statutory right of withdrawal

As an entrepreneur within the meaning of § 14 BGB, you have no statutory right of withdrawal.

7.2 Voluntary 60-day money-back guarantee (withdrawal)

We voluntarily grant you a contractual right of withdrawal of 60 days from the date of purchase.

Withdrawal period and exercise

You have the right to withdraw from this contract within sixty (60) days from the date of purchase without giving any reason. The date of purchase is the day of the first successful receipt of payment for the subscription.

To exercise your right of withdrawal, you must inform us (daleap GmbH, Grützmacherweg 6, 13599 Berlin, email: mail@leano.net) of your decision to withdraw from this contract by means of a clear statement (e.g. by email).

To comply with the withdrawal period, it is sufficient that you send the notification before the 60-day period expires.

Consequences of withdrawal

In the event of withdrawal, we will refund to you in full all payments we have received from you for this subscription. The refund is made without undue delay and at the latest within fourteen (14) days from the day on which the notification of your withdrawal was received by us.

For the refund, we use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you. In no case will you be charged any fees for this refund.

Access to Leano is deactivated when the withdrawal takes effect.

7.3 Ordinary cancellation of the subscription

Irrespective of the right of withdrawal under section 7.2, you may cancel your subscription at any time by ordinary notice.

Notice period

The cancellation must reach us no later than 14 days before the end of the current billing period in order to take effect at the end of that billing period.

Form of cancellation

The cancellation can be declared at any time via your account area or by email to mail@leano.net.

Effect of cancellation

The cancellation takes effect at the end of the current billing period. Until then, your access to Leano remains active. No refund is made for the current billing period in the event of ordinary cancellation.

In the event of early extraordinary termination for good cause, the statutory provisions apply (§ 314 BGB).

Warranty

The statutory warranty provisions apply to defects in the services provided.

Liability

(1) We are liable without limitation for damages arising from injury to life, body or health, as well as for intent and gross negligence. Liability under the Product Liability Act remains unaffected.

(2) In the event of a breach of material contractual obligations (cardinal obligations), we are also liable for slight negligence, limited in amount to the damage typically foreseeable for the contract. Cardinal obligations are those obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance you may regularly rely.

(3) In so far as our liability under paragraph 2 is limited to the damage typically foreseeable for the contract, the parties apply the following benchmark in determining that damage: damage is, as a rule, typical for the contract and foreseeable up to the amount of the net fees you paid to us in the twelve months prior to the event giving rise to the damage. If, at the time of the event giving rise to the damage, the contract has been in force for less than twelve months, the sum of the net fees that would be owed for a period of twelve months under the agreed subscription price applies instead. This benchmark constitutes neither a cap on our liability nor a minimum amount of your damage; the statutory burden of presentation and proof, including § 287 ZPO, continues to apply to the occurrence and amount of your damage. In particular, you remain free to prove that your damage was higher and nevertheless typical for the contract and foreseeable; to that extent our liability under paragraph 2 is not excluded by paragraph 5. Paragraph 3 does not apply to free use; paragraph 2 applies in that case. The unlimited liability under paragraph 1 remains unaffected.

(4) In so far as we are liable for the loss of data, liability is limited to the effort that would have been required to restore the data in the case of proper and regular data backup. Since we have assumed the regular data backup pursuant to DPA § 3.3 as well as the technical and organisational measures (TOMs) attached as Annex 1 to the DPA, this limitation does not apply to data losses that are attributable to a breach of these backup obligations. Liability claims under Art. 82 DSGVO as well as liability for intent and gross negligence remain unaffected.

(5) Otherwise, that is outside paragraphs 1 to 4, our liability is excluded. Liability for fraudulent intent, liability arising from the assumption of a guarantee or a procurement risk (§ 276 (1) sentence 1 BGB), liability under the Product Liability Act and liability under Art. 82 GDPR remain unaffected.

Data protection

Your personal data is processed in accordance with our privacy policy. In so far as we process personal data of your employees within the scope of processing on behalf, we conclude a data processing agreement (DPA) with you pursuant to Art. 28 DSGVO. The DPA is made available for acceptance as part of the ordering process.

Final provisions

The law of the Federal Republic of Germany applies. The place of jurisdiction is Berlin. Should any provision of these terms of sale be or become invalid, this does not affect the validity of the remaining provisions. The invalid provision is replaced by a valid provision that comes closest to the economic purpose of the invalid provision. Amendments and additions to these terms of sale require text form (§ 126b BGB). There are no verbal side agreements.
